Signing an agreement presented to you in a FRAUDULENT offer has no impact within a legal framework. You can not be held liable for ANY words within such an agreement, and any threat of action is hot-air to scare you into paying money.
Simply ignore the scum.

After Xi'an we went to Shenzhen, to meet the second Chinese company (Brightway Group Stock Ltd.). They seemed more professional, more accurate and more reliable. They came to our hotel to meet us (a guy named Xu Haibin and a young and friendly interpreter). We spoke for a while, then they decided to take us to their office. This time we had a better feeling about it. It really looked like a proper office! They looked very knowledgeable about technical details about our products, shipping details etc. Then I saw that they were preparing a draft of contract. We told them that we weren't going to sign anything that day, and that we just wanted to know them. They told us that they would have sent us the draft in the next few days.
And that was it. Our meeting was fine, they seemed nice and at least we did not have the burden of the signature of a contract. Once back home, we received their contract, with a clause that stated that we should pay 0.25% of the total amount, for the registration expenses. I told them to deduce them from the down payment but they told us the same thing that the other Chinese company told us: the two transactions needed to be separated. So the answer was NO. I told them that we did not want to pay in advance and they said they would come to Italy in December, to discuss about the contract. Now, this kind of approach is a bit strange: if they are scammers and their aim is to get some money from companies, why would they spend money in a trip? Maybe they will visit many other companies around and so write off expenses?

Hello,
reading these pages I feel that we have been trapped into a scam too.
Our company produces hydraulic cylinders and we have been contacted by 3 Chinese companies through Alibaba.com:
1st company: Xi'an Jiaguang Trading Co. Ltd. based in Xi'an city
2nd company: Brightway Group Stock Co. Ltd. based in Shenzhen
3rd company: Hainan Kaimao based in Hainan island
None of the three seems to have a reliable website, in fact, it is very hard to find some information about them on the web.
All three of them had a pretty much a similar approach:
- contacted us via Alibaba.com
- sent us technical drawing to quote + asked for FOB price
- after some emails they accepted our price and conditions.
- they sent us a purchasing order (big one!)
- they asked us to go to China in order to discuss the contract and sign it.
CUSTOMER 1:
After some discussions with my boss, we decided to go to Xi'an and Shenzhen, even if we were not very convinced about how easy it had been to sell so much with such a short negotiation. Despite that, we wanted to see with our own eyes and meet them in person.
Once in Xi'an they picked us up from the airport, arranged accomodation in a nice Sofitel and the day after they took us to an office (we do not think it was THEIR office, it looked more like a rented one!). We had a look at the contract, we discussed it and then went to lunch with them. They paid for restaurant at least. In the afternoon they came to our hotel and we finished discussing the contract, then printed it and signed it with the general manager. They did not speak English and they had a 24-year-old interpreter (very sweet girl), who pretty much did the contract, filling it together with me. This seemed quite strange: why give so much "power" to a mere interpreter? Anyway, in the contract they had a clause that stated that we should pay a 3% of the initial batch in advance, after 10 days from the signature of the contract, as a "quality guarantee fee", which they would return us after the final batch, if the quality of the products was ok. We suggested that they could deduct the amount from the down payment they were supposed to pay us 30 days after signing the contract (5.December). They said it was not possible as it had to be separated...
My boss signed but he regretted it, as we went back to the hotel.
Once back to Italy we had them checked by the Italian ICE in Beijing: the report showed that they registered in 2010, and did not really underline evident problems. It just said they were a medium to high-risk company to deal with. I wrote them saying that before unlocking the payment we needed to have the registered copy of the contract and the draft of Letter of Credit, sent by their bank. Up to now, they only sent us a filled in form for the application of L/C (which is still not valid as a L/C) and the registered copy (which to me could be fake). We haven't paid anything yet and we are not going to, before we get the L/C.
My question is: would we risk something if we don't pay, since we signed the agreement?

The company description is the classic scammer's copy&paste. The general reference to "your product" indicates they will "purchase" anything from anyone. The whole point is to get the victim to travel to China where they will take him to the cleaners. That request for advance fee is another indication of a scam.

Similarly to one of you here, they ask for a quote for translation of 5 books about martial arts into Polish. They offer ridiculously high price per word (and there are over 4 mln words). Plus they would require printing of all that later, the first run of each would be 50,000 items (I really doubt they will find 50,000 Polish people that would buy the book about martial arts nowadays). They even send us 5 word documents with the books' contents. They don't seem to have any website. Some quotations from the latest message:
- "We have no special demands,and you would finish the work according to the common patterns."
- "You should finish the translation in 4 months and print in 6 months."
- "We believe the contract draftted by you will be better."
- "After signning the contract,we may agree the 50% Advancement"
I feel that if I send them the quote now, they will "invite" me to China.
Please confirm that this is a scam attempt. Thank you.

This company has given us every reason to believe they are simply a scam outfit:
They contacted us unsolicited; they placed a huge order for our products, although their website did not show them as marketing medical materials; they would not answer any questions we made about marketing our products, or displayed the slightest bit of knowledge about them; they refused to give us references, citing privacy concerns; they were insistent, and in fact only interested in talking about me going to China to sign a contract; they only registered their business in 2011, but told us that they had been in business since 2003; finally, they ordered from us an item which I know they could obtain in China, since that's where they are made for us. It was that fact that first set off alarm bells with me: how could a company ordering a half million dollars worth of product source items so poorly?
It is always worth contacting the Department of Commerce. In our case, it was the Washington State Dept. of Commerce that really helped us with background information.

Hi please notice the RED words I highlight in your message, there is no such kind Beijing Notary Office, there is no such kind notary for foreign exchange at all, and they should go to you to look the product, why they want you go to them. And the address is a mansion address, the mobile number is just quite new one.
